Acceptance of Terms
These Terms of Use ("Terms") govern your access to and use of thestudioboulder.com (the "Site"), operated by The Studio, LLC ("The Studio," "we," "us," or "our"). By accessing or using the Site, you agree to these Terms and our Privacy Policy. If you do not agree, please do not use the Site.
Scope of These Terms
These Terms cover your use of the Site itself — including browsing, submitting inquiries, and subscribing to our email list. They do not govern event bookings or coworking memberships. If you book an event or join as a coworking member, you'll sign a separate written agreement covering deposits, cancellation, insurance, conduct, alcohol service, and other operational terms. That signed agreement controls for those relationships; these Terms control for everything else.

Permitted Use
The Site is for your personal, non-commercial use and for legitimate inquiries about our venue, coworking memberships, and events. You may not:
- Use the Site in a way that violates any applicable law or regulation.
- Attempt to gain unauthorized access to the Site, our servers, or any related systems or networks.
- Introduce viruses, malware, or other harmful code, or interfere with the normal operation of the Site.
- Use automated means (bots, scrapers, crawlers) to collect content or data from the Site without our prior written consent.
- Impersonate another person, misrepresent your affiliation, or submit false or misleading information through our forms.
- Use the Site to send unsolicited marketing, spam, or harassing communications.
Inquiries Are Not Bookings
Submitting an inquiry through the Site does not create a reservation, booking, contract, or hold on any date. Prices, availability, amenities, minimums, and policies shown on the Site are for general reference and are subject to change without notice. A date is reserved only upon execution of a signed event agreement (for events) or a signed membership agreement (for coworking), and receipt of any required deposit or payment.
Email Subscriptions
If you opt in to our email list, you agree to receive marketing messages from The Studio, including newsletters, event announcements, and promotions. Every marketing email includes an unsubscribe link — you may opt out at any time. Transactional messages (replies to your inquiries, tour confirmations, contract documents) are separate from marketing and will continue regardless of your marketing preferences.
User Submissions
Information you submit through an inquiry or contact form must be accurate and your own to share. By submitting information, you grant us a non-exclusive, royalty-free license to use it for the purpose of responding to your inquiry and providing our services, consistent with our Privacy Policy.
Intellectual Property
All content on the Site — including text, images, photography, logos, graphics, layout, and design — is owned by The Studio, LLC or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may view and share links to pages on the Site, but you may not copy, reproduce, modify, distribute, publish, or create derivative works from any Site content without our prior written permission. "The Studio (Boulder)" and associated logos are common-law trademarks of The Studio, LLC.
Third-Party Links & Services
The Site may link to or integrate with third-party websites and services (including booking, mapping, analytics, email, and social-media platforms). We do not control and are not responsible for the content, policies, or practices of those third parties. Your use of those services is governed by their own terms.
Disclaimer of Warranties
THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF VIRUSES, OR THAT CONTENT IS ACCURATE, COMPLETE, OR CURRENT.
Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, THE STUDIO, LLC AND ITS OWNERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, LOST DATA, OR LOSS OF GOODWILL — ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS ($100) OR (B) THE AMOUNTS YOU PAID TO US FOR GOODS OR SERVICES THROUGH THE SITE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THESE LIMITATIONS MAY NOT APPLY TO YOU.
Indemnification
You agree to defend, indemnify, and hold harmless The Studio, LLC and its owners, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Site, your violation of these Terms, or your violation of any third-party right.
Force Majeure
We are not liable for any failure or delay in performing our obligations under these Terms caused by circumstances beyond our reasonable control, including acts of God, severe weather, fire, flood, earthquake, pandemic or epidemic, governmental orders, civil unrest, strikes, utility or telecommunications failures, or internet or hosting outages.
Governing Law & Venue
These Terms are governed by the laws of the State of Colorado, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Site must be brought exclusively in the state or federal courts located in Boulder County, Colorado, and you consent to the personal jurisdiction of those courts.
Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
Severability
If any provision of these Terms is found to be unenforceable, that provision will be limited or eliminated to the minimum extent necessary so that the remaining Terms stay in full force and effect.
